In This Terms of Use:

  • Account” means your account on this Website whether it is corporate, business or personal account.
  • Customer” means a User of EU Agenda Services.
  • EU Agenda”, “we”, “our”, or “us” means EU Agenda Network SL, Calle Omet 6, 46011 Valencia, Spain incorporated under Spanish laws, VAT No. ESB10848174.
  • Intellectual Property Rights” refers to all intellectual rights including but not limited to: (a) copyright, patents, registered designs, trademarks, and any right to have confidential information kept confidential; and (b), whether or not such privileges are listed or capable of being listed and whether current under any applicable laws.
  • EU Agenda Services” means all and any services delivered by EU Agenda via the Website or any and all services provision of which is related and interconnected with the User’s use of the Website.
  • User”, “you” or “your” means any entity or person that uses the website.
  • User Agreement” means: (i) this Terms of Use; (ii) any other provisions acknowledged by both the EU Agenda and Customer, to the degree not conflicting with the User Agreement and the Privacy Policy;
  • Website” refers to https://euagenda.eu the website operated by EU Agenda Network SL. and/or EU Agenda such as any EU Agenda Services connected with the Website, as well as EU Agenda’s implements or applications.

1. Summary

By opening an account and using the Website, you acknowledge and agree to be bound with the subsequent Terms of Use (thus, the “User Agreement”) with EU Agenda. We might change the User Agreement along with any related material as required by posting amended terms on the Website.

2. Scope

BEFORE YOU START UTILISING EU AGENDA’S WEBSITE IN ANY POSSIBLE WAY, READ THE WHOLE USER AGREEMENT, RELEVANT TERMS AND ALL RELATED INFORMATION AS THIS MAY INFLUENCE YOUR RIGHTS AND OBLIGATION DURING YOUR USE OF THE WEBSITE. YOU NEED TO READ AND ACCEPT ALL OF THE TERMS IN THIS USER AGREEMENT, THE EU AGENDA PRIVACY POLICY AND ALL WEBSITE POLICIES BEFORE YOU START USING THE WEBSITE. OTHERWISE, YOU ARE NOT ALLOWED TO USE THE WEBSITE. DO NOT USE THE WEBSITE IF (I) YOU HAVE ANY CONCERNS OR DOUBTS IN REGARDS TO THIS USER AGREEMENT OR ANY LEGAL DOCUMENT PUBLISHED ON THE WEBSITE INCLUDING BUT NOT LIMITED TO PRIVACY POLICY AND OTHER WEBSITE POLICIES; AND/OR (II) YOU DO NOT AGREE TO BE BOUND BY THIS USER AGREEMENT AND OTHER LEGAL DOCUMENTATION PUBLISHED ON THE WEBSITE.

You confirm that this User Agreement will be applicable to, whenever you use the EU Agenda’s Website, EU Agenda Services provided to you and any products we make accessible to interact with the EU Agenda’s Website.

3. Eligibility

In order to be able to post events on the site you are required to hold a business account, however you can use a free version of the site regardless of you being a business or individual/personal user. Nevertheless, you will refrain from using EU Agenda’s Website if you:

  1. barred from legally binding contracts; or
  2. are below the age of 16; or
  3. are a person forbidden from receiving EU Agenda Services under the laws of Spain or other appropriate jurisdiction; or
  4. are banned from using the EU Agenda’s Website.

Subject to your native rules, an individual over 16 but under 18 can use an individual/personal account with the consent of the Parent and/or Guardian. Though, the account owner is accountable for entirety performed with that account.

User must create an account using their legal name as indicated on the relevant governmental identification document. Users accept and come to an agreement that where a commercial name or business name is related with their account, this User Agreement is an agreement with the User as an officer of that business and the Users stay solely accountable for all activity carried out in relation of their Account.

Whenever opening an account, business or individual, you agree to provide your legal name as indicated on relevant government ID for individual, or on business registration certificate of your relevant state for the business.

We might refuse to accept an individual or business entity as the User at our sole discretion.

4. Using EU Agenda Website

While using the EU Agenda’s Website, you will not:

  1. post content or items in inappropriate categories or areas on our websites and services;
  2. infringe any laws, third-party rights or our policies;
  3. work with false, inaccurate, misleading, defamatory or offensive content;
  4. distribute or post spam, unsolicited, or bulk electronic communications, chain letters, or pyramid schemes;
  5. distribute viruses or any other technologies that may harm EU Agenda, the Website, or the interests or property of the EU Agenda’s Users (including their Intellectual Property Rights, privacy and publicity rights) or is unlawful, threatening, abusive, defamatory, invasive of privacy, vulgar, obscene, profane or which may harass or cause distress or inconvenience to, or incite hatred of, any person;
  6. attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by us in connection with the EU Agenda’s Website;
  7. copy, modify or distribute rights or content from the EU Agenda’s Website or EU Agenda's copyrights, trademarks, and/or other objects of intellectual property; or
  8. gather or otherwise collect information about Users, including email addresses, without their consent.

5. Content

Any content posted on the site, including but not limited to the events, is subject to the relevant EU Agenda’s guidelines, review and approval. The guidelines can be obtained by contacting EU Agenda or via the link https://euagenda.eu/about/guidelines/. Any user can submit their wish list or suggestions to the site, however we do not guarantee that we will act based on any of user suggestions. Any content might be removed at EU Agendas sole discretion with or without notice. The guidelines for publishing events available at the aforementioned link are integral part of this User Agreement.

You represent and warrant that your content:

  1. will not infringe upon or misappropriate any copyright, patent, pattern, trademark, trade secret, or other intellectual property right or proprietary right or right of publicity or privacy of any person;
  2. will not violate any law or regulation;
  3. will not be defamatory or trade libellous;
  4. will not be obscene or contain child pornography;
  5. will not contain the development, design, manufacture or production of missiles, or nuclear, chemical or biological weapons;
  6. will not contain material linked to terrorist activities;
  7. will not include incomplete, false or inaccurate information about User or any other individual; and
  8. will not contain any viruses or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information.

The Website may contain links to other third-party websites. We do not control the websites to which we link from the Website. We do not endorse the content, products, services, practices, policies or performance of the websites we link to from the Website. Use of third-party content, links to third-party content and/or websites is at your risk.

6. Your Content in our Services

Some of our Services allow you to upload, submit, store, send or receive content. You retain ownership of any Intellectual Property Rights that you hold in regards to that content. In short, what belongs to you stays yours. When you upload, submit, store, send or receive content to or through our Services, you give EU Agenda (and those we work with) a worldwide license (or sublicense) to use, host, store, communicate and distribute such content.

7. Renewals

You agree that EU Agenda shall have the right to renew your membership automatically and without any notice to continue to use the Products upon expiration of your membership period. You agree that if you select not to permit EU Agenda the right to automatically renew your membership to use the Products or maintain your credit card information on file with us or relevant payment processing company, then EU Agenda may terminate your membership.

8. Billing

The fees for your PREMIUM Account will be billed from the date you elect, or convert to, a PREMIUM Account and on each year renewal thereafter unless and until you cancel your recurring account. EU Agenda will automatically bill your credit card through its payment processors (e.g. Stripe merchant, the leading payment processing company operating in over 25 countries and complying with the most advanced security standards – https://stripe.com) each year or more or less often as outlined on the site on the anniversary of the commencement of your PREMIUM Account. You acknowledge that the amount billed may vary for reasons that include, differing amounts due to promotional offers, differing amounts due to changes in your account, or changes in the amount of applicable VAT, and you authorise us to charge your credit card for such varying amounts. EU Agenda may also periodically authorise your credit card in anticipation of account or related charges. All fees and charges are non-cancellable and non-refundable and no credits will be given for partially used periods.

Each account specification is stated in Section 9 of this User Agreement and the billed price will be as follows:

  1. Personal Account – available to private users (Free)
  2. Non-Profit Account – available to eligible, non-profit organisations based in the EU/EEA (Free)
  3. PREMIUM Account – available to organisations based anywhere worldwide (59€/month or 588€/year)

All payments and charges are calculated not including VAT or any other applicable taxes.

9. Account Terms

You are responsible for your account credentials and security and maintaining the security of these. The User as account holder has the complete and final responsibility for any financial and non-financial transactions that were undertaken via account, regardless if they authorised these transaction or not.

EU Agenda cannot and will not be liable for any loss or damage from your failure to comply with this security obligation:

  1. You are responsible for all content added to EU Agenda and activity that occurs within your account;
  2. You may not use EU Agenda for any illegal purpose or to violate any applicable laws (including but not limited to copyright laws);
  3. You are responsible for properly managing users of your account, all activity performed by your users;
  4. You are responsible for assigning appropriate permissions and responsibilities to your users, managing these and any actions performed by your delegates.

There are three types of account that may be possible to open within the Website in order to receive EU Agenda Services:

  1. Personal Account – available to private users. Personal Account provides you with possibility to:
    • Access all directories and all pages there included;
    • Customise and receive our weekly Newsletter;
    • Save any item like events, videos, publications, speakers, etc. (for each team member).
  2. Non-Profit Account – available to organisations based in the EU/EEA. Only organisations that have their registered offices within the jurisdiction of a EU/EEA member-state (Austria, Belgium, Bulgaria, Croatia, Republic of Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, Netherlands, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, Sweden) are eligible to apply for opening of such Non-profit Account.

    For the purpose of identifying the eligibility criteria for opening of the Non-profit Account, the following criteria shall apply altogether:

    • Jurisdiction of the Organisation’s registered offices must be in the EU;
    • Tax residence (paying at least some taxes, including but not limited to, income tax, VAT etc.) must be in the EU;
    • The registering organisation must have a non-profit statute (associations, foundations, NGOs, academia, etc.);
    • The products and services of the registering company must be of some interest for the EU Agenda audience.

    Non-Profit Account provides you with the possibility to:

    • Access all directories and all pages there included,
    • Publish up to 12 events with external registration per year (each event can have max duration of 3 days),
    • Publish up to 240 events with internal registration per year (each event can have max duration of 3 days),
    • Create a team by inviting other users to join your organisation account,
    • Receive our weekly newsletters (for each team member),
    • Save any item like events, videos, publications, speakers, etc. (for each team member)
  3. PREMIUM Account – available to organisations based anywhere worldwide. Any organisation (i.e. legal entities or personal entrepreneurs) will be eligible to apply for opening of such Premium Account or upgrading their current Personal Account or Non-Profit Account to the PREMIUM Account. PREMIUM Account will be billed as described in Section 8 of this User Agreement.

    PREMIUM Account provides you with the possibility to:

    • Access all directories and all pages there included,
    • Publish up to 240 events with external registration per year (max 20 events per month, each with max duration of 60 days),
    • Publish up to 240 events with internal registration per year (max 20 events per month, each with max duration of 60 days),
    • Create a team by inviting other users to join your organisation account,
    • Receive and customise our weekly newsletter (for each team member),
    • Save any item like events, videos, publications, speakers, etc. (for each team member)
    • Publish unlimited PDF publications,
    • Generate unlimited PDF publication from text and publish them,
    • Publish unlimited YouTube videos,
    • Sync YouTube Channels for automatic videos publications on EU Agenda Videos Directory,
    • Sync RSS feeds for automatic publications on EU Agenda News Directory,
    • Use a better, distraction-free organisation profile page,
    • Promote the organisation through various organic ads.

10. Publications Services

EU Agenda may provide a publication services to the Users of EU Agenda’s Website and EU Agenda Services. The EU Agenda Services may also involve:

  1. EU Agenda’s Users, third-parties, agents or contractual parties’ upload reports, publications, analysis or articles in PDF (i.e. “.pdf”) format or otherwise as may be changed by EU Agenda from time to time; and/or
  2. EU Agenda’s Users, third-parties, agents or contracted parties upload reports, publications, analysis or articles in any format other than PDF and EU Agenda converts it to a PDF format or otherwise as may be changed by EU Agenda from time to time; and/or
  3. EU Agenda, third-parties, agents or contracted parties automatically search, links, obtain, parse or otherwise make PDF reports available on the internet to EU Agenda’s Users.

At any time when anyone, including but not limited to EU Agenda’s Users, third-parties, agents or anyone who upload, submit, store, send or receive these reports to or through EU Agenda Services, they give EU Agenda (and those third-parties EU Agenda works with) a worldwide license to use, host, store, communicate and distribute such content. Entity uploading reports, data and content represents and warrants that the uploaded content:

  1. will not infringe upon or misappropriate any copyright, patent, pattern, trademark, trade secret, or other intellectual property right or proprietary right or right of publicity or privacy of any person
  2. will not violate any law or regulation;
  3. will not be defamatory or trade libellous;
  4. will not be obscene or contain child pornography;
  5. will not contain the development, design, manufacture or production of missiles, or nuclear, chemical or biological weapons
  6. will not contain material linked to terrorist activities
  7. will not include incomplete, false or inaccurate information about User or any other individual; and
  8. will not contain any viruses or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information.

11. Right To Review

We may read all correspondence posted to the Website and download or access, and test (if necessary), all uploaded files, programs and websites related to your use of the Website for the purpose of investigating fraud and for risk management and related purposes. We retain full and unconditional right to reject, suspend, delete or edit any information submitted by the user, including but not limited to event information, description, change the classification.

12. Right To Refuse Service

We might chose to close your account immediately, at our sole discretion with or without any notice, including but not limited to the reasons outlined below (or without a reason):

  1. if we determine that you have or will have breached any of our guidelines, policies, terms and conditions, or are not acting on terms of this User Agreement;
  2. if you breached a law in any EU member-country;
  3. if you violated someone’s Intellectual Property Rights;
  4. if you engage in fraudulent or deceptive activities;
  5. we are required to do so by a request of relevant authorities or by virtue of law;
  6. your person, action and/or content might result in risk to our business, clients, revenue or us;
  7. your person, action and/or content result in loss, reduced revenue to us (or there is reasonable suspicion of such result);
  8. you offend or pose any risk to another user;
  9. for other similar reasons.

If we decide to close your account due to this User Agreement you will become liable to pay all your outstanding fees and settle your account in full. Note that any decision to close your account is based on our sole discretion and you agree not to seek a recourse.

13. Privacy

Your privacy is of utmost importance to us. Any of your personal details will only be used by us in accordance with our Privacy Policy . If you do not agree with our Privacy Policy in any way please refrain from using any of our services.

14. Indemnity

You will protect us (and our directors, officers, agents, and employees) against any entitlement or request, including permissible costs and fees arising out of or due to your acting in contradiction to this User Agreement, or your breach of any laws in the course of using the EU Agenda’s Website and EU Agenda Services.

15. Limitation Of Liability

Under no circumstances shall we be liable for:

  1. any unintended, consequential, distinctive or related damages that might arise;
  2. any damage to business, income, or profits (whether indirect or direct) that might be experienced by you;
  3. any damage, claim, or loss which might be sustained by you as a consequence of any of your dealings concerning the Website.

The limits on our accountability to you will be effective if we or not, staff, our affiliates, our related entities or anyone else connected with us have been counselled of the likelihood of such damages or costs arising.

16. Our Warranties and Disclaimers

OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OR ADDITIONAL TERMS, OR USER AGREEMENT, NEITHER EU AGENDA NOR ITS SUPPLIERS OR DISTRIBUTORS MAKE ANY SPECIFIC PROMISES ABOUT THE WEBSITE AND/OR EU AGENDA SERVICES. FOR EXAMPLE, WE DON’T MAKE ANY COMMITMENTS ABOUT THE CONTENT WITHIN THE SERVICES, THE SPECIFIC FUNCTIONS OF THE SERVICES, OR THEIR RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS. WE PROVIDE THE SERVICES ON THE “AS IS” AND “AS AVAILABLE” BASIS. SOME JURISDICTIONS PROVIDE FOR CERTAIN WARRANTIES, LIKE THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY ANY APPLICABLE LAW, WE EXCLUDE ALL WARRANTIES.

17. Liability for our Services

WHEN PERMITTED BY LAW, EU AGENDA, AND EU AGENDA’S SUPPLIERS AND DISTRIBUTORS, WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES, OR DATA, FINANCIAL LOSSES OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF EU AGENDA, AND ITS SUPPLIERS AND DISTRIBUTORS, FOR ANY CLAIMS UNDER THESE TERMS, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT YOU PAID US FOR USE OF THE EU AGENDA SERVICES (OR, IF WE CHOOSE, TO SUPPLY YOU OUR SERVICES AGAIN). IN ALL CASES, EU AGENDA, AND ITS SUPPLIERS AND DISTRIBUTORS, WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.

18. Jurisdiction Limitations

In case any applicable law or jurisdiction prohibits limitations outlined in this User Agreement or sets limits to these limitations, we reserve the right to request limitations to the maximum extend permitted by these applicable laws.

19. Law And Forum For Legal Disputes

This User Agreement will be governed in all respects by the laws of Spain. If a dispute cannot be resolved through negotiations between EU Agenda and the User, then you and EU Agenda irrevocably submit to the exclusive jurisdiction of the courts in Valencia, Spain. Without taking into account any conflicts of laws.

20. Severability

The inaccuracy of any part of this User Agreement will not and shall not be thought to affect the legitimacy of any other part. In the event that any provision of this User Agreement is held to be invalid, the parties hereto agree that the left over provisions shall be considered to be in full force and effect as if they had been executed by contractual parties subsequent to the expungement of the invalid provision.

21. Interpretation

Titles are for reference purposes only and in no way limit, define, describe or construe the range or degree of such section. If there are any discrepancies between this User Agreement and our Privacy Policy than the Privacy policy shall prevail.

22. Event Merchant Agreement

The Event Merchant Agreement represents an integral part of this User Agreement.
